Terms & Conditions

These Terms & Conditions govern all estimates, proposals, invoices, contracts, purchase orders, products, services, deliveries, installations, repairs, upholstery work, foam replacement services, and transactions provided by Furniture Design Solution LLC ("Company").
By approving an estimate, accepting a proposal, submitting a deposit, authorizing work, purchasing products, or utilizing services provided by Furniture Design Solution LLC, the customer agrees to be bound by these Terms & Conditions.
1. Scope of Services
Furniture Design Solution LLC provides commercial and residential furniture-related services including, but not limited to:
Custom booth seating
Banquette seating
Commercial seating
Residential seating
Upholstery services
Foam replacement
Furniture repairs
Cushion manufacturing
Furniture modifications
Delivery services
Installation services
Furniture Design Solution LLC reserves the right to refuse service at its sole discretion.
2. Estimates and Proposals
All estimates, proposals, quotations, and pricing provided by Furniture Design Solution LLC are valid for thirty (30) calendar days unless otherwise stated in writing.
Material pricing, freight costs, supplier costs, and labor rates may change after the expiration of an estimate.
Furniture Design Solution LLC reserves the right to revise pricing prior to acceptance.
3. Deposits
A deposit is required before any work begins.
The deposit amount shall be specified within the approved estimate, proposal, invoice, or contract.
No materials will be ordered, production scheduled, labor allocated, or work commenced until the required deposit has been received and cleared.
Deposits are non-refundable except where otherwise required by law or specifically agreed to in writing by Furniture Design Solution LLC.
4. Final Payment
The remaining balance shall be due in full upon:
Delivery
Installation
Completion of services
Customer possession of the product
whichever occurs first.
Furniture Design Solution LLC reserves the right to withhold delivery, installation, warranty service, future work, or release of products until all outstanding balances have been paid in full.
5. Ownership of Products
All products, furniture, cushions, booth seating, banquettes, upholstery work, materials, and related goods remain the sole property of Furniture Design Solution LLC until paid in full.
Failure to make payment may result in legal collection efforts or repossession to the extent permitted by law.
6. Customer Approval Responsibilities
Customers are solely responsible for reviewing and approving:
Measurements
Drawings
Layouts
Fabric selections
Vinyl selections
Leather selections
Colors
Finishes
Specifications
Quantities
Approval by the customer constitutes acceptance of those selections.
Furniture Design Solution LLC shall not be responsible for errors resulting from customer-approved information.
7. Site Conditions
Customers shall provide safe and reasonable access to the project location.
The customer is responsible for:
Adequate access pathways
Site readiness
Utility availability
Removal of obstacles
Access permissions
Coordination with property management when necessary
Additional labor resulting from inaccessible work areas may result in additional charges.
8. Delivery and Installation
Delivery and installation dates are estimates only and are not guaranteed unless specifically stated in writing.
Furniture Design Solution LLC will make commercially reasonable efforts to meet projected schedules.
Customers acknowledge that delays may occur due to:
Material shortages
Supplier delays
Freight delays
Labor shortages
Manufacturing delays
Site readiness issues
Customer-requested changes
Weather conditions
Vehicle breakdowns
Circumstances beyond reasonable control
Furniture Design Solution LLC will make commercially reasonable efforts to communicate material project updates and significant delays when known.
9. Lead Times
All production schedules and lead times are estimates.
Furniture Design Solution LLC shall not be liable for damages resulting from project delays regardless of cause.
Estimated completion dates are projections only and shall not constitute guarantees.
10. Change Orders
Any change to an approved project may require:
Additional labor
Additional materials
Revised pricing
Revised completion schedules
All change orders must be approved by the customer before implementation.
Furniture Design Solution LLC reserves the right to reject requested changes.
11. Customer-Supplied Materials
Furniture Design Solution LLC assumes no responsibility for:
Defects
Delays
Material shortages
Color inconsistencies
Durability issues
Warranty claims
associated with customer-supplied materials.
The customer assumes all risk associated with customer-provided materials.
12. Storage
If delivery or installation is delayed due to customer scheduling, site readiness, lack of access, or customer request, Furniture Design Solution LLC reserves the right to assess reasonable storage fees.
Storage fees may begin after seven (7) calendar days of completed production unless otherwise agreed in writing.
13. Inspection and Acceptance
Customers shall inspect products upon delivery or installation.
Visible concerns, shortages, or damage must be reported within seven (7) calendar days.
Failure to provide written notice shall constitute acceptance of the products and services provided.
14. Warranty
All warranty claims are governed by the Furniture Design Solution LLC Warranty Policy.
The Warranty Policy is incorporated into these Terms & Conditions by reference.
15. Limitation of Liability
Furniture Design Solution LLC shall not be liable for:
Lost profits
Lost revenue
Business interruption
Consequential damages
Incidental damages
Special damages
Indirect damages
Punitive damages
Under no circumstances shall liability exceed the amount paid for the affected product or service.
16. Force Majeure
Furniture Design Solution LLC shall not be responsible for delays or failures resulting from circumstances beyond its reasonable control, including but not limited to supplier interruptions, transportation disruptions, labor shortages, natural events, governmental actions, utility interruptions, material shortages, or similar events.
17. Collection Costs
Customers agree to pay all costs incurred in collecting unpaid balances, including:
Collection agency fees
Attorney fees
Court costs
Filing fees
Interest permitted by law
18. No Verbal Modifications
No verbal statement, representation, promise, or agreement shall modify these Terms & Conditions.
Any modification must be in writing and approved by Furniture Design Solution LLC.
19. Severability
If any provision of these Terms & Conditions is found unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms & Conditions, together with any estimate, proposal, invoice, contract, and Warranty Policy, constitute the entire agreement between the customer and Furniture Design Solution LLC.
21. Governing Law and Venue
These Terms & Conditions shall be governed by the laws of the State of Arizona.
Any dispute shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.
The prevailing party shall be entitled to recover reasonable attorneys' fees, costs, and expenses.
